Please read these Terms of Use (“Terms”) carefully before using the Services provided by Fangtooth Analytics Inc. By accessing or using the Services, you agree to be bound by these Terms.

1. Interpretation and Definitions

Interpretation

Words with capitalized initial letters have meanings defined below. These definitions apply whether the terms appear in singular or plural form.

Definitions

For the purposes of these Terms:

a. “Affiliate”

Means any entity that directly or indirectly controls, is controlled by, or is under common control with a party.

b. “Company”, “Fangtooth”, “We”, “Us”, or “Our”

Refers to Fangtooth Analytics Inc., a corporation incorporated under the laws of Ontario, Canada (Business Number: 1001593792).

Registered address available upon request or through official corporate records.

c. “Customer Financial Data”

Means spreadsheets, accounting records, trial balances, general ledger exports, financial statements, transactional records, reports, prompts, uploaded files, formulas, and other business or financial data submitted to or processed through the Services.

d. “Device”

Means any device capable of accessing the Services, including computers, tablets, or mobile devices.

e. “Outputs”

Means analyses, summaries, formulas, generated text, charts, recommendations, calculations, or other responses generated by the Services or AI-enabled functionality.

f. “Services”

Means Fangtooth’s website, software applications, Excel add-ins, APIs, AI-enabled functionality, cloud-connected services, databases, support services, and related tools made available by Fangtooth.

g. “Subscriber”

Means an individual, company, organization, or other entity using or subscribing to the Services.

h. “Subscription Plan”

Means any paid or unpaid licensing, subscription, trial, enterprise, or usage-based plan offered by Fangtooth.

i. “Third-Party Services”

Means software, AI systems, APIs, integrations, cloud providers, or external services not operated by Fangtooth.

j. “Website”

Refers to Fangtooth Analytics, accessible at www.fangtooth.tech.

k. “You” or “Your”

Means the individual or legal entity accessing or using the Services.

2. Acknowledgment

These Terms govern Your access to and use of the Services and form a legally binding agreement between You and Fangtooth.

By accessing or using the Services, you agree to be bound by these Terms. If You do not agree to these Terms, you may not access or use the Services.

If You are using the Services on behalf of a company or organization, you represent and warrant that You have authority to bind that entity to these Terms.

You represent that You are at least eighteen (18) years old or the age of majority in Your jurisdiction.

Your use of the Services is also governed by Our Privacy Policy, which is incorporated into these Terms by reference.

3. Use of the Services

Subject to these Terms and payment of applicable fees, Fangtooth grants You a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for Your internal business or professional purposes.

You may not:

• resell or sublicense the Services;
• reverse engineer or decompile the Services, except where expressly permitted by applicable law;
• use the Services to build competing products or services;
• misuse APIs or integrations;
• interfere with the security, availability, or integrity of the Services or related systems;
• upload malicious code, harmful content, or unauthorized data;
• scrape or extract data from the Services without authorization;
• upload, process, or submit Customer Financial Data that You do not have lawful authority to access or process;
• use the Services in a manner intended to circumvent professional, regulatory, or legal obligations applicable to You;
• process personal or financial data of third parties through the Services without appropriate authorization, consent, or another lawful basis; or
• use the Services unlawfully or in violation of applicable professional standards, regulations, or laws.

The Services are intended for business and professional use and are not designed for safety-critical, emergency, medical, or autonomous control systems.

4. Account Security

You are responsible for maintaining the confidentiality and security of Your login credentials, account access, authentication methods, and any devices used to access the Services.

You are responsible for all activity that occurs under Your account, including activity by Your employees, contractors, representatives, or other authorized users. You agree to use reasonable safeguards to prevent unauthorized access to the Services and to notify Fangtooth promptly if You become aware of any unauthorized access, misuse, or suspected security incident involving Your account.

Fangtooth is not responsible for losses arising from unauthorized use of Your account where such use results from Your failure to maintain appropriate account security, except to the extent caused by Fangtooth’s breach of these Terms or applicable law.

5. Subscription Plans and Billing

Certain Services may require a paid Subscription Plan. Subscription pricing, billing terms, renewal periods, usage limits, and included functionality may be described through subscription pages, order forms, invoices, enterprise agreements, or reseller agreements.

Unless otherwise stated in Your Subscription Plan:

• subscriptions automatically renew at the end of each billing period for the same duration unless cancelled prior to the applicable renewal date;
• You may cancel Your subscription at any time through Your account settings or by contacting legal@fangtooth.tech, and cancellation will take effect at the end of the current billing period;
• fees paid are non-refundable except as required by applicable law or as expressly stated in Your Subscription Plan;
• new subscribers may be eligible for a seven (7) day refund following an initial subscription purchase by contacting legal@fangtooth.tech within seven (7) days of purchase;
• applicable taxes are Your responsibility; and
• overdue amounts may accrue interest at the maximum rate permitted by applicable law.

Fangtooth may suspend or terminate access to the Services for overdue accounts or material violations of these Terms.

Fangtooth reserves the right to modify pricing, features, usage limits, or Subscription Plans at any time upon reasonable advance notice.

6. Customer Financial Data and AI Features

Fangtooth is designed to process Customer Financial Data locally on the user’s device wherever reasonably possible.

Certain features may involve:

• customer-managed cloud infrastructure;
• Third-Party Services selected or configured by the customer;
• temporary or transient data processing;
• APIs and cloud-connected functionality; or
• Fangtooth-hosted public reference databases.

Some formulas or tools may retrieve publicly available or licensed reference data from Fangtooth-controlled infrastructure, including foreign exchange rates, tax rates, or other non-customer reference datasets. Such requests may involve transmission of limited technical, authentication, query, or usage information reasonably necessary to provide the requested functionality, but do not include Customer Financial Data unless expressly required for a requested feature and disclosed to You.

You retain ownership of Your Customer Financial Data and Inputs submitted to the Services. Subject to applicable law and third-party rights, you retain rights to Outputs generated specifically for You through the Services.

Fangtooth does not claim ownership of Your Customer Financial Data.

Fangtooth does not intentionally store Customer Financial Data on Fangtooth-controlled servers except where expressly enabled by You or required to provide a requested feature, support, security, legal compliance, or customer-enabled cloud functionality.

You grant Fangtooth a limited license to process, transmit, analyze, and use Customer Financial Data solely as reasonably necessary to:

• provide the Services;
• maintain functionality and system performance;
• provide customer support;
• maintain the security and integrity of the Services;
• comply with legal obligations; and
• enforce these Terms.

Unless explicitly disclosed and authorized by You, Fangtooth does not use Customer Financial Data or AI-generated content to train, fine-tune, or improve general-purpose AI or machine learning models. Product improvement and analytics are based on aggregated, anonymized, diagnostic, or non-financial usage data only.

AI-generated Outputs may contain inaccuracies, omissions, or incomplete information and require independent human review and professional judgment before reliance.

Fangtooth does not provide accounting advice, legal advice, audit opinions, tax advice, valuation opinions, or investment advice through the Services or AI-generated Outputs.

7. Third-Party Services

The Services may integrate with or interoperate with Third-Party Services.

Fangtooth does not control and is not responsible for third-party AI providers, APIs, uptime, outputs, privacy practices, security practices, availability, or data retention policies.

You are responsible for reviewing the applicable terms, privacy policies, data retention practices, and AI model training policies of Third-Party Services You choose to integrate or use in connection with the Services before transmitting Customer Financial Data or related content to such systems.

8. Intellectual Property Rights

The Services, including all software, source code, formulas, designs, layouts, APIs, databases, graphics, documentation, trademarks, logos, branding, AI systems, and proprietary technology, are the exclusive property of Fangtooth or its licensors and are protected by applicable intellectual property, copyright, trademark, and other laws.

Except for the limited rights expressly granted under these Terms, no ownership rights or licenses are granted to You.

“Fangtooth”, the Fangtooth logo, and related branding are trademarks or trade names of Fangtooth Analytics Inc. and may not be used without prior written permission.

9. Feedback

If You provide suggestions, ideas, recommendations, or feedback regarding the Services, you grant Fangtooth a worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, and incorporate such feedback without restriction or compensation.

10. Privacy

Your use of the Services is also governed by Our Privacy Policy.

The Privacy Policy describes how We collect, use, disclose, and safeguard Personal Information and Customer Financial Data.

Enterprise customers or organizations requiring a data processing agreement (“DPA”) in connection with their use of the Services may request one by contacting legal@fangtooth.tech.

11. Termination

We may suspend or terminate Your access to the Services, with or without prior notice, if:

• You materially violate these Terms;
• payment obligations are overdue and remain uncured following reasonable notice where practicable;
• Your use creates immediate security or legal risks to Fangtooth, other users, or third parties; or
• We reasonably believe suspension is necessary to protect the integrity, availability, or security of the Services or other users, except where circumstances require immediate action without prior notice.

For non-urgent violations, Fangtooth will endeavour to provide reasonable prior notice and an opportunity to cure where practicable.

Upon termination, your right to use the Services immediately ceases. Sections of these Terms that by their nature should survive termination shall remain in full force and effect.

12. Indemnification

You agree to defend, indemnify, and hold harmless Fangtooth and its affiliates, officers, directors, employees, contractors, licensors, service providers, and agents from and against any claims, demands, actions, damages, losses, liabilities, costs, and expenses, including reasonable legal fees, arising out of or relating to:

• Your use of the Services;
• Your Customer Financial Data;
• Your breach of these Terms;
• Your violation of applicable laws, regulations, professional obligations, or third-party rights;
• Your use of Outputs, analyses, calculations, reports, schedules, recommendations, or other results generated through the Services;
• Your submission, upload, processing, or use of data that You do not have lawful authority to access, use, disclose, or process; or
• use of the Services by Your employees, contractors, representatives, or other authorized users.

Fangtooth reserves the right, at Your expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by You. You agree to cooperate with Fangtooth’s defense of any such claim. You may not settle any claim without Fangtooth’s prior written consent if the settlement imposes any obligation or liability on Fangtooth, requires Fangtooth to admit fault, or affects Fangtooth’s rights or interests.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Fangtooth and its affiliates, officers, employees, contractors, licensors, and suppliers shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, loss of data, business interruption, or loss of goodwill, arising from or relating to the Services or these Terms.

Fangtooth’s total aggregate liability arising out of or relating to the Services shall not exceed the amounts paid by You to Fangtooth during the twelve (12) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not permit certain exclusions or limitations of liability, so portions of this section may not apply to You to the extent prohibited by applicable law.

14. “As Is” Disclaimer

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FANGTOOTH DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND AVAILABILITY.

FANGTOOTH DOES NOT WARRANT THAT:

1. THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE;
2. OUTPUTS WILL BE ACCURATE OR COMPLETE;
3. ERRORS WILL BE CORRECTED;
4. THE SERVICES WILL IDENTIFY ALL ISSUES OR ANOMALIES IN YOUR DATA; OR
5. THE SERVICES WILL MEET ALL PROFESSIONAL OR REGULATORY REQUIREMENTS APPLICABLE TO YOU.

You are solely responsible for independently verifying all Outputs, analyses, and results produced through the Services before relying on them for professional, regulatory, or business purposes.

15. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

You agree to submit to the exclusive jurisdiction of the courts located in Ontario, Canada for resolution of any dispute arising out of or relating to these Terms or the Services.

16. Dispute Resolution

If You have a dispute or concern relating to the Services, you agree to first contact Fangtooth at legal@fangtooth.tech and attempt to resolve the issue informally before initiating legal proceedings.

Fangtooth will endeavour to respond to good-faith inquiries within a reasonable timeframe.

17. Severability and Waiver

If any provision of these Terms is held invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

Failure by Fangtooth to enforce any provision of these Terms on any occasion does not constitute a waiver of that provision or Fangtooth’s right to enforce it in the future.

18. Changes to These Terms

Fangtooth reserves the right to modify or replace these Terms at any time.

For material changes, Fangtooth will endeavour to provide reasonable advance notice to active subscribers, which may be provided by email, through the Website, or through the Services.

Updated Terms will be posted on the Website with a revised “Last Updated” date.

Continued use of the Services after revised Terms become effective constitutes Your acceptance of the updated Terms. If You do not agree to the revised Terms, you should discontinue use of the Services.
